This End User License Agreement (“Agreement” or “EULA”) is a legally binding agreement between you, whether an individual or an entity (“User”, “you”, or “your”), and WemX (“WemX”, “we”, “us”, or “our”) governing your access to, installation of, and use of the WemX software, including any related source code, updates, patches, modules, documentation, and services made available by WemX (collectively, the “Software”).
By downloading, installing, copying, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree to this Agreement, you must not download, install, access, or use the Software.
Important: The Software may be publicly visible or accessible through GitHub or other source-code repositories. Availability of the source code does not mean the Software is unrestricted, public domain, free for commercial exploitation, or free from license requirements. Your use of the Software remains subject to this Agreement and requires a valid license key.
Relationship With Repository License
This Software may be distributed with a repository license notice, including a LICENSE.md file.
The LICENSE.md file provides a summary of certain license conditions applicable to the Software. The full terms governing installation, activation, access, use, license validation, telemetry, restrictions, liability, and termination are set out in this EULA.
If there is any conflict or inconsistency between this EULA and the LICENSE.md file, this EULA controls, unless a separate written agreement signed by WemX states otherwise.
1. License Grant
Subject to your full compliance with this Agreement, WemX grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Software solely for your own internal business, personal, or organizational purposes, according to the plan associated with your valid license key.
This Agreement does not transfer ownership of the Software or any intellectual property rights in the Software to you. All rights not expressly granted are reserved by WemX.
2. License Key Requirement
The Software requires a valid license key to install, activate, access, or operate. License keys may be obtained from WemX through its official website, customer portal, authorized billing system, or another method approved by WemX.
You are responsible for ensuring that your license key is valid, active, and used only in accordance with the plan, limits, and conditions under which it was issued.
WemX may verify license keys during installation, operation, updates, or at other reasonable times to confirm that the Software is being used in accordance with this Agreement.
3. License Plans and Usage Limits
WemX may offer different license plans, including but not limited to:
3.1 Hobby Plan
The Hobby plan may be offered free of charge and may include restrictions such as, but not limited to:
- Display of “Powered by WemX” or similar attribution;
- Limits on the number of active orders;
- Limits on available or active payment gateways;
- Limits on connected servers;
- Other functional, technical, operational, branding, or usage restrictions as determined by WemX.
3.2 Premium Plan
The Premium plan may include additional rights or increased limits, such as removal of “Powered by WemX” branding and higher usage thresholds.
3.3 Business Plan
The Business plan may be intended for larger businesses and may include higher limits, additional commercial rights, or additional support options as described by WemX.
3.4 Plan Terms May Change
WemX may update, modify, add, remove, or replace license plans, features, limits, pricing, or entitlements from time to time. Your continued use of the Software remains subject to the plan and license terms applicable to your license.
4. Restrictions on License Validation and Plan Limits
You must not, directly or indirectly:
- Tamper with, modify, disable, remove, hinder, interfere with, or otherwise alter the Software’s license validation system;
- Bypass, circumvent, disable, spoof, or interfere with any license key verification, activation, validation, entitlement, or enforcement mechanism;
- Modify the Software source code, configuration, database, runtime environment, network requests, or any related component for the purpose of bypassing license requirements or plan limitations;
- Remove or alter checks that enforce limits associated with your license plan, including limits on active orders, payment gateways, connected servers, attribution, branding, or other plan-based restrictions;
- Use a license key issued to another person or entity without authorization;
- Share, sell, lease, sublicense, publish, or otherwise distribute your license key to any unauthorized party;
- Use automated systems, patches, modified builds, proxies, emulators, local validation overrides, or other technical means to avoid license validation or usage limits;
- Falsely report, spoof, obscure, or manipulate telemetry, domain information, IP addresses, installation details, software version information, or other data used for license validation.
Any attempt to bypass license validation or plan restrictions is a material breach of this Agreement and may result in immediate suspension or termination of your license, denial of access to updates or services, and any other remedies available to WemX under law or contract.
5. Source Code Availability and Modifications
The Software source code may be visible, downloadable, or otherwise accessible through GitHub or other repositories. Such access is provided for transparency, review, contribution, installation, development, or other purposes approved by WemX.
Unless expressly permitted by WemX in writing or under a separate applicable open-source license file included with the Software, you must not use source code availability as a basis to:
- Claim ownership of the Software;
- Remove license validation systems;
- Remove plan restrictions;
- Remove required attribution or branding;
- Create or distribute an unauthorized competing product;
- Market the Software, a modified version, or a fork as your own;
- Misrepresent your relationship with WemX;
- Violate any restriction in this Agreement.
You may not modify the Software for the purpose of circumventing license requirements, avoiding plan limitations, removing attribution required by your plan, or enabling unauthorized functionality.
6. No Resale, Redistribution, or White-Labeling Without Permission
You must not sell, resell, rent, lease, sublicense, distribute, redistribute, publish, host for resale, market, white-label, or otherwise commercially exploit the Software as your own product or service without prior written permission from WemX.
You must not represent yourself as the creator, owner, vendor, official provider, or authorized reseller of the Software unless WemX has expressly authorized you in writing.
You must not remove, obscure, modify, or misrepresent WemX names, trademarks, branding, copyright notices, attribution notices, license notices, repository history, or other proprietary notices, except where your license plan expressly permits removal of specified branding such as “Powered by WemX”.
7. Forking and Derivative Projects
You must not fork, clone, copy, modify, or otherwise create a derivative version of the Software and market, sell, distribute, publish, or promote it as your own software, platform, product, or competing service.
You must not use the WemX Software, source code, architecture, branding, user interface, installer, modules, documentation, or license system to create a confusingly similar or competing product without prior written permission from WemX.
If WemX permits community contributions or pull requests, such permission does not grant you the right to commercially exploit, redistribute, rebrand, or independently market the Software or a fork of the Software.
8. Telemetry and License Verification Data
To operate the license system, prevent abuse, enforce plan limits, provide updates, improve security, and maintain the Software, WemX may collect and process certain telemetry and installation-related data from the machine, server, or environment on which the Software is installed or operated.
Such data may include, but is not limited to:
- IP address;
- Domain name;
- License key;
- Installation identifier;
- Software version;
- Operating system;
- Server environment information;
- Application URL;
- Activation status;
- Plan type;
- Usage-limit indicators;
- Connected services count;
- Payment gateway count;
- Active order count;
- Timestamps of validation requests;
- Error, security, or abuse-related information.
You acknowledge and agree that this data may be transmitted to WemX or its service providers for license validation, fraud prevention, enforcement of plan limits, security monitoring, analytics, support, and operational purposes.
You are responsible for ensuring that your use of the Software and any telemetry collection or transmission complies with all laws applicable to you, including privacy, data protection, hosting, customer notification, and consent requirements.
Where required by applicable law, you must disclose the use of the Software and any relevant telemetry or data processing to your own customers, staff, contractors, or end users.
9. User Responsibilities
You are solely responsible for:
- Installing, configuring, securing, operating, and maintaining the Software;
- Ensuring your server, hosting provider, domain, database, credentials, payment gateway configuration, and related systems are secure;
- Backing up your data and maintaining disaster recovery procedures;
- Complying with all laws, regulations, sanctions, export restrictions, consumer protection rules, tax obligations, privacy laws, and payment processing requirements applicable to your use of the Software;
- Ensuring that your products, services, content, users, customers, transactions, and business activities are lawful;
- Obtaining any licenses, permits, consents, or approvals required to operate your business or use the Software;
- Monitoring and moderating content, orders, services, customer accounts, and transactions processed through your installation of the Software;
- Keeping your license key confidential and secure;
- Ensuring that your use of the Software does not infringe the rights of others.
10. Prohibited Uses
You must not use the Software to:
- Violate any applicable law, regulation, court order, or government requirement;
- Operate, support, enable, or facilitate illegal activity;
- Infringe intellectual property, privacy, publicity, or contractual rights of others;
- Distribute malware, phishing content, spam, scams, or fraudulent services;
- Attack, overload, exploit, disrupt, or gain unauthorized access to systems, networks, accounts, or data;
- Misrepresent your identity, affiliation, products, services, or relationship with WemX;
- Process illegal, harmful, abusive, exploitative, or unauthorized content or transactions;
- Use the Software in a way that damages the reputation, availability, security, or integrity of WemX, its users, or third parties.
WemX may suspend or terminate licenses associated with illegal, abusive, fraudulent, or harmful use.
11. Third-Party Services and Dependencies
The Software may integrate with or depend on third-party services, libraries, APIs, payment gateways, hosting providers, package managers, operating systems, or other external components.
WemX does not control and is not responsible for third-party services or dependencies. Your use of third-party services may be subject to separate terms, fees, policies, rate limits, restrictions, and legal obligations.
WemX is not liable for failures, outages, vulnerabilities, pricing changes, API changes, deprecations, data loss, or damages caused by third-party services or dependencies.
12. Updates, Patches, and Compatibility
WemX may provide updates, patches, security fixes, new versions, or modified releases of the Software at its discretion. WemX is not obligated to provide updates, maintenance, support, or compatibility for any particular version unless expressly agreed in writing.
You are responsible for testing updates before applying them to production environments and for maintaining backups before installing updates.
WemX may require updated license validation mechanisms, telemetry fields, compatibility checks, or plan enforcement logic in future versions.
13. Support
Support, if provided, may depend on your license plan and the support terms published by WemX. Unless expressly agreed otherwise, WemX does not guarantee any specific response time, resolution time, availability, or outcome.
WemX may refuse support where the Software has been modified, misconfigured, used unlawfully, used in violation of this Agreement, or used with unsupported systems or third-party services.
14. Intellectual Property Rights
The Software, including its source code, object code, design, architecture, installer, interfaces, text, graphics, branding, documentation, trademarks, trade names, logos, and related materials, is owned by WemX or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws.
Except for the limited license expressly granted in this Agreement, you receive no ownership interest or intellectual property rights in the Software.
You must not use WemX trademarks, logos, trade names, branding, or confusingly similar marks without prior written permission from WemX, except where required attribution is displayed in accordance with your license plan.
15. Feedback and Contributions
If you submit feedback, suggestions, bug reports, feature requests, code contributions, pull requests, documentation, translations, or other materials to WemX, you grant WemX a worldwide, perpetual, irrevocable, sublicensable, transferable, royalty-free license to use, reproduce, modify, distribute, publish, display, perform, commercialize, and incorporate such materials into the Software or related services without compensation to you.
You represent that you have the necessary rights to submit such materials and that they do not violate third-party rights or applicable law.
16. Confidentiality and Security of License Keys
You must keep your license key confidential and must not publish, share, leak, sell, transfer, sublicense, or otherwise make it available to unauthorized parties.
You are responsible for all activity associated with your license key. If you believe your license key has been compromised, you must notify WemX promptly.
WemX may suspend, rotate, revoke, or disable license keys that are leaked, abused, misused, shared, resold, or used in violation of this Agreement.
17. Suspension and Termination
WemX may suspend or terminate your license, access to updates, access to support, or access to related services immediately if:
- You breach this Agreement;
- You fail to pay applicable fees;
- Your license key is invalid, expired, refunded, charged back, abused, leaked, or fraudulently obtained;
- You tamper with license validation or plan limits;
- You redistribute, resell, fork, white-label, or market the Software without permission;
- You use the Software for illegal, abusive, fraudulent, harmful, or high-risk activity;
- WemX is required to do so by law, regulation, court order, payment provider, hosting provider, or government authority.
Upon termination, you must stop using the Software and, if requested by WemX, delete or destroy copies of the Software in your possession or control.
Sections that by their nature should survive termination shall survive, including intellectual property rights, restrictions, telemetry provisions, disclaimers, limitation of liability, indemnity, and governing law.
18. Fees, Payments, Refunds, and Taxes
Paid plans may require recurring or one-time payments as described on the WemX website, checkout page, invoice, or customer portal.
You are responsible for all applicable fees, taxes, duties, currency conversion charges, payment processor fees, and other charges associated with your purchase or use of the Software.
Refunds, if any, are governed by the refund policy published by WemX or agreed in writing. WemX may suspend or terminate licenses associated with failed payments, chargebacks, fraud, abuse, or payment disputes.
19. Compliance With Laws
You are solely responsible for determining whether the Software is lawful to install, access, operate, export, import, market, sell, or use in your country, region, industry, or business context.
WemX does not represent or warrant that the Software is lawful, compliant, approved, or suitable for use in every country, jurisdiction, industry, or regulated environment.
You must not use the Software where such use is prohibited or restricted by applicable law.
20. No Responsibility for User Conduct
WemX is not responsible for what you, your employees, contractors, customers, users, or third parties do with the Software.
You are solely responsible for all stores, products, services, content, orders, payments, customers, accounts, transactions, data, and activities managed through your installation of the Software.
WemX is not liable for your unlawful, unauthorized, negligent, fraudulent, abusive, or harmful use of the Software.
21. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available”, with all faults and without warranties of any kind.
WemX disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, compatibility, uninterrupted operation, and error-free performance.
WemX does not warrant that:
- The Software will meet your requirements;
- The Software will be uninterrupted, secure, bug-free, exploit-free, or error-free;
- Defects or vulnerabilities will be corrected;
- The Software will be compatible with all systems, servers, browsers, PHP versions, Laravel versions, databases, packages, or third-party services;
- The Software will comply with laws applicable to you;
- Data processed through the Software will be safe from loss, corruption, breach, or unauthorized access.
You use the Software at your own risk.
22. Limitation of Liability
To the maximum extent permitted by applicable law, WemX and its owners, directors, employees, contractors, affiliates, licensors, contributors, suppliers, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including but not limited to lost profits, lost revenue, business interruption, loss of goodwill, loss of data, loss of customers, system failure, security breach, payment disputes, legal claims, regulatory penalties, or costs of substitute software or services.
WemX is not liable for damages arising from or related to:
- Bugs, defects, errors, vulnerabilities, exploits, or security issues in the Software;
- Misconfiguration, misuse, unauthorized modification, or improper installation of the Software;
- Third-party services, hosting providers, payment gateways, APIs, libraries, dependencies, or integrations;
- Illegal or non-compliant use of the Software;
- Loss, corruption, deletion, exposure, or unauthorized access to data;
- Downtime, service interruption, failed updates, failed installations, failed migrations, or compatibility issues;
- Any use of the Software in violation of this Agreement.
To the maximum extent permitted by applicable law, WemX’s total cumulative liability for all claims arising out of or relating to the Software or this Agreement shall not exceed the amount you paid to WemX for the Software during the three (3) months immediately preceding the event giving rise to the claim, or EUR €100, whichever is lower.
Some jurisdictions do not allow certain exclusions or limitations of liability. In such jurisdictions, WemX’s liability shall be limited to the maximum extent permitted by applicable law.
23. Indemnification
You agree to defend, indemnify, and hold harmless WemX and its owners, directors, employees, contractors, affiliates, licensors, contributors, suppliers, and service providers from and against any claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to:
- Your use or misuse of the Software;
- Your breach of this Agreement;
- Your violation of applicable law;
- Your products, services, content, customers, orders, transactions, or business activities;
- Your infringement or alleged infringement of third-party rights;
- Your modification of the Software;
- Your failure to secure your server, installation, data, credentials, payment systems, or customer information;
- Any dispute between you and your customers, users, vendors, contractors, or third parties.
24. High-Risk Use
The Software is not designed, tested, certified, or intended for use in high-risk environments where failure could lead to death, personal injury, severe property damage, environmental damage, critical infrastructure failure, or other serious harm.
You must not use the Software in such environments unless you assume all risk and implement appropriate independent safeguards.
25. Export Control and Sanctions
You must comply with all applicable export control, sanctions, and trade compliance laws. You must not use, access, download, export, re-export, or transfer the Software in violation of such laws or in any country, region, or context where such activity is prohibited.
26. Audit and Enforcement
WemX may use technical, operational, and legal measures to verify compliance with this Agreement, including license validation, telemetry review, abuse detection, fraud prevention, and investigation of unauthorized distribution or circumvention.
You agree not to interfere with such compliance measures.
Where WemX reasonably believes that a license is being misused, abused, shared, resold, modified, or used in violation of this Agreement, WemX may suspend or terminate the license and take appropriate action.
27. Changes to This Agreement
WemX may update this Agreement from time to time. Updated terms may be published on the WemX website, included with the Software, shown in the customer portal, or otherwise made available.
Your continued use of the Software after an updated Agreement becomes effective constitutes acceptance of the updated Agreement.
If you do not agree to the updated Agreement, you must stop using the Software.
28. Governing Law and Dispute Resolution
This Agreement shall be governed by and interpreted in accordance with the laws of The Netherlands, without regard to conflict-of-law principles.
Any dispute arising out of or relating to this Agreement, the Software, or your use of the Software shall be subject to the exclusive jurisdiction of the courts located in rechtbank Overijssel, The Netherlands, unless applicable law requires otherwise.
Before filing a claim, the parties agree to attempt in good faith to resolve the dispute informally by contacting each other at the addresses provided in this Agreement or on the WemX website.
29. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, or, if modification is not possible, severed from this Agreement.
30. No Waiver
WemX’s failure to enforce any provision of this Agreement shall not be considered a waiver of that provision or any other provision. Any waiver must be in writing and signed by WemX.
31. Assignment
You may not assign, transfer, delegate, or sublicense this Agreement or your rights under it without prior written permission from WemX.
WemX may assign, transfer, or delegate this Agreement, in whole or in part, to an affiliate, successor, acquirer, or other third party without your consent.
32. Entire Agreement
This Agreement, together with any applicable order terms, plan terms, privacy policy, refund policy, acceptable use policy, and written agreements signed by WemX, constitutes the entire agreement between you and WemX regarding the Software and supersedes all prior or contemporaneous agreements, understandings, statements, or representations relating to the Software.

34. Acceptance
By downloading, installing, activating, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
If you are accepting this Agreement on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to this Agreement.
